Q. Who is a Shareholder?
A. A holder of Common Shares and/or Preferred Shares.

Q. What are Preferred Shares?
A. The Company’s preferred shares of stock, par value P=0.20 per share.

Q. Who are the Selling Shareholders?
A. Group Management and Development, Inc., FLG Management and Development Corporation, M.A. Jimenez Enterprises, Inc., Television International Corporation, Gozon Development Corporation and Gozon Foundation, Inc.

Q. What are Common Shares?
A. The Company’s common shares of stock, par value P=1.00 per share.

Q. Are there any restrictions in buying Common Shares?
A. Under the Philippine Constitution, the Common Shares can only be owned by Philippine Citizens and by Corporations or associations wholly-owned and managed by Philippine citizens.

Q. What are PDR or PDRs?
A. Philippine Deposit Receipt/s

Q. Who is a Holder?
A. A holder of PDRs as defined in Condition 1(c) of the Terms and Conditions of the PDRs.

Q. What is a PDR Exercise Right?
A. Delivery or sale of a Common Share as set out in Condition 4 of the Terms and Conditions of the PDRs.

Q. Are there any restrictions in buying PDRs?
A. The PDRs may be owned by any person regardless of citizenship or nationality. However, the exercise of a PDR is subject to the foregoing nationality restriction.

Q. What are the Terms and Conditions of the PDR?

Q. What is an Affiliate?
A. Any company which, directly or indirectly, through one or more intermediaries, controls or is controlled by, or is under common control with, the Company. For purposes of this definition, “control” shall mean the power to direct or cause the direction of the management policies of this company by contract, agency or otherwise.

Q. What is an Eligible Broker?
A. A securities broker that (a) has an office in the Philippines; (b) is licensed as a securities broker by the Securities and Exchange Commission and (c) is an active Trading Participant in good standing of the Philippine Stock Exchange.

Q. What is ESOP?
A. Employee Stock Ownership Plan.

Q. Who are the Trading Participants?
A. Duly licensed securities brokers who are trading participants of the PSE.

Q. What is the difference between Audience Share and Household Ratings?
A. Audience Share is the percentage of households actually watching a network’s programming out of all households actually watching television during the relevant time period while Household Rating is the percentage of households viewing a network’s programming out of the total households in the area measured.
