SEC moves AFS submission deadline to June 15, 2026

The Securities and Exchange Commission (SEC) has given companies two more weeks to submit their annual financial statements (AFS), moving the deadline to June 15 after the extension of income tax return (ITR) filings.

In an advisory released on Thursday, the SEC said the deadline for the submission of AFS with fiscal year ending December 31, 2025 was moved from the original May 29, 2026 after the Bureau of Internal Revenue (BIR) extended the ITR filing until May 15, 2026.

“The deadline is applicable to all corporations, including branch offices, representative offices, regional headquarters, and regional operating headquarters of foreign corporations, whose fiscal years ended on December 31,” the advisory read.

The SEC also moved the deadline for brokers and dealers to submit their SEC Form 52-AR with AFS as an attachment to May 15 from April 30. Issuers with securities listed on the local bourse may also submit until May 15.

“The SEC is giving corporations more time to submit their AFS with the SEC so that they may take advantage of the extension provided by the BIR,” SEC chairperson Francis Lim said in an emailed statement.

“Beyond the alignment, we want to provide corporations ample time to finalize their reports and ensure the accuracy and completeness of information provided in their financial statements,” he added. —VAL, GMA News
