Max’s Group to merge operators of Krispy Kreme, Jamba Juice
Casual dining operator Max’s Group Inc. has secured the green light from the Securities and Exchange Commission (SEC) to merge two of its wholly-owned subsidiaries.
According to a regulatory filing submitted by Assistant Compliance Officer Paul Cheah on Wednesday, the company said the SEC approved the merger between The Real American Doughtnut Company Inc. and Fresh Healthy Juice Boosters Inc.
Makati-based owner and operator of Krispy Kreme Doughnut outlets in the Philippines, The Real American will be the surviving entity.
Fresh Healthy Juice holds the license to operate the Jamba Juice brand in the Philippines.
“The resulting transaction is aligned with on-going reorganization initiatives to maximize operational synergies across the business and does not adversely impact existing shareholders,” the filing said.
Aside from Krispy Kreme and Jamba Juice, the Max’s Group’s brands portfolio includes Max’s Restaurant, Pancake House, Yellow Can Pizza, Teriyaki Boy, Dencio’s, Meranti, Sizzlin’ Steak, Maple, Kabisera, Le Coeur De France, and Singkit.
Max’s Groups closed the first quarter of the year with a P123.7-million net income, weighed by higher prices of raw materials and manpower costs. —Jon Viktor Cabuenas/VDS, GMA News
